Terms & Governance

The following Terms & Governance framework defines the structure, scope, and operational boundaries of individual membership within OpEx Authority™.

Membership is designed for serious professionals operating under performance and compliance pressure. Structured discipline preserves quality and institutional integrity.



1️⃣Membership Structure


Membership unlocks all four core components:

  • One (1) seat in the OpEx Advisory Council™
  • One (1) CI/OpEx On-Demand Intervention per month
  • Full access to the CI/OpEx Playbook Library
  • Access to OpEx Architecture Certification™ programs


Membership is limited to a maximum of selected professionals.

Enrollment remains open for 90 days or until capacity is reached.

Membership pricing is $99/month or $1,000/year.

Pricing may increase for future cohorts as delivery capacity expands.

Existing members retain their enrolled rate unless voluntarily upgraded.



2️⃣Intervention Access & Response Expectations


Membership includes structured access to the CI/OpEx On-Demand Solutions Engine™.

To preserve depth and quality:

  • Intervention slots are limited each month.
  • Access operates on a first-come, first-served basis.
  • Structured submission is required prior to review.
  • Submissions are acknowledged within 2 business days.
  • Standard written responses are delivered within 5–7 business days.
  • Live advisory sessions are scheduled based on capacity and case complexity.
  • Urgent or expedited guarantees are not provided unless separately agreed.


OpEx Authority™ provides structured reinforcement, not emergency consulting.



3️⃣Scope of Advisory Engagement


Each monthly intervention includes:

  • Defined problem review based on submitted scope
  • Architecture-level diagnostic direction
  • Written summary outlining logic and recommended next steps


Interventions do not include:

  • Full project execution
  • Multi-week implementation oversight
  • On-site operational management
  • Unlimited iterative revisions


Additional scope may be contracted separately.



4️⃣100 Credit Allocation Policy


Each member receives 100 OpEx Credits per month.

  • 100 credits represent $100 in service value.
  • Credits accumulate month-to-month.
  • Credits may be applied toward additional approved services.
  • Credits cannot be combined with percentage-based service discounts.
  • Members must choose either to use credit or a discount, not both.
  • Credits are non-transferable and hold no cash value.


Credits reinforce flexibility while preserving structured boundaries.



5️⃣Professional Conduct & Fair Use


Members agree to:

  • Provide accurate information in submissions
  • Respect scheduling and intervention boundaries
  • Use materials for internal professional application only
  • Maintain confidentiality of proprietary frameworks


To preserve equitable access:

  • Repeated booking cancellations may affect slot priority
  • Excessive submission volume beyond fair-use standards may be limited
  • Attempts to circumvent credit or access rules are prohibited


Membership is structured access, not an unlimited entitlement.



6️⃣Confidentiality


All member submissions are treated as confidential.

OpEx Authority™ maintains discretion regarding:

  • Operational data
  • Compliance matters
  • Performance information
  • Strategic initiatives

Member identities will not be publicly disclosed without consent.



7️⃣Associate Advisor Disclosure


As membership scales, structured interventions may be supported by trained Associate Advisors operating under the OpExaaS™ doctrine.

  • Associates operate under strict Confidentiality agreements  
  • All advisory outputs follow standardized OpEx Authority™ frameworks
  • Complex or escalated cases remain under founder oversight


Quality control is centralized and standardized.



8️⃣Intellectual Property


All proprietary frameworks, templates, methodologies, and structured materials remain the intellectual property of OpEx Authority™.

Members may:

  • Use materials internally for professional application      


Members may not:

  • Reproduce, resell, redistribute, or commercialize proprietary materials
  • Repackage frameworks as independent consulting products


Membership grants usage rights, not ownership transfer.



9️⃣Conflict of Interest


OpEx Authority™ reserves the right to decline engagement where:

  • Direct competitive conflicts exist
  • Regulatory sensitivity creates exposure risk
  • Advisory involvement may compromise neutrality


Institutional integrity takes precedence over engagement volume.



🔟Service Refusal Rights


OpEx Authority™ reserves the right to refuse or discontinue service if:

  • Requests fall outside defined scope
  • Member conduct violates professional standards
  • Repeated misuse of advisory access occurs
  • Ethical or regulatory exposure risks arise


Discretion protects institutional integrity.



1️⃣1️⃣Corporate Engagement Separation


Individual membership does not constitute:

  • Corporate consulting engagement
  • Enterprise-level advisory agreement
  • Organizational representation

Corporate or site-level advisory requires separate enrollment under the Business Membership structure.

This separation preserves clarity between professional development and enterprise engagement.



1️⃣2️⃣Upgrade


Members may:

  • Upgrade to expanded service tiers if available
  • Transition to corporate engagement programs
  • Apply accumulated credits toward approved expanded services


Re-entry after cancellation is subject to current pricing and availability.



1️⃣3️⃣Force Majeure & Operational Disruption


OpEx Authority™ shall not be liable for temporary service interruptions caused by:

  • Technical outages
  • Health emergencies
  • Natural disasters
  • Regulatory disruptions
  • Unforeseen operational constraints      


Reasonable effort will be made to reschedule or extend services where appropriate.
